These Terms of Service govern the use of Performo and the services we provide.
By engaging Performo, you agree to these Terms.
About Us
Performo is a trading name of Vorlo Ltd.
Throughout these Terms, "Performo", "we", "our" and "us" refer to Vorlo Ltd trading as Performo.
Our Services
Performo provides website design, website management and related digital services for businesses across the UK.
Services may include:
- ■Website design and development
- ■Website hosting
- ■Domain management
- ■Content updates
- ■Website maintenance
- ■Website migration
- ■Technical support
Every project is unique and may include additional agreed services where confirmed in writing.
Build First Promise
One of Performo's unique services is our Build First Promise.
We may create an initial website concept before requesting any payment.
Viewing or reviewing this concept does not create any obligation to purchase.
If you decide not to proceed, no payment is due and Performo retains ownership of all concepts, designs, source code and associated work.
If you decide to proceed, payment becomes due once the website has been approved prior to launch or transfer.
One-Off Website Purchase
Our one-off website package is currently priced at £495.
This includes:
- ■Professional website design
- ■Responsive website development
- ■Connection to your domain
- ■One round of revisions
- ■Website launch
- ■Transfer of website ownership
Once the included revision round has been completed, any further work may be quoted separately.
Managed Website Plan
Our managed package currently consists of £445 initial website build, plus £25 per month.
The managed service includes:
- ■Secure hosting
- ■Website monitoring
- ■Website backups
- ■Routine software and security updates
- ■Unlimited reasonable content updates
- ■Opening hour changes
- ■Price updates
- ■Image replacements
- ■Staff updates
- ■Contact information updates
- ■Additional service pages
- ■Ongoing technical support relating to your website
The managed plan does not include complete redesigns, bespoke software development, e-commerce functionality, integrations with third-party systems or significant new features unless agreed separately.
Reasonable Use
Unlimited content updates are intended for normal day-to-day business changes.
Examples include:
- ■Updating text
- ■Changing photographs
- ■Updating prices
- ■Opening hours
- ■Team members
- ■Contact details
- ■Adding new services
Unlimited updates do not include:
- ■Complete redesigns
- ■Rebranding projects
- ■Large structural changes
- ■Bespoke software
- ■Custom integrations
- ■Extensive new functionality
Where work falls outside routine website management, we will provide a quotation before commencing work.
Website Ownership
Your website belongs to you.
For one-off purchases, ownership transfers once payment has been received in full.
For managed customers, you retain ownership of your website throughout your subscription.
Performo manages and hosts the website on your behalf while your managed plan remains active.
Domains
Where possible, domains will be registered in the client's name.
If Performo registers a domain on your behalf, ownership will be transferred to you upon request once any outstanding invoices have been settled.
Managed Subscription Cancellation
Managed subscriptions are billed monthly.
There is no minimum contract term.
You may cancel your managed subscription at any time by providing 30 days' written notice.
There are no cancellation fees.
Following cancellation:
- ■Hosting and management services will end at the conclusion of your notice period.
- ■We will provide a complete copy of your website.
- ■We will provide reasonable assistance transferring your website to another hosting provider if required.
Your website remains yours.
Client Content
You confirm that you have the legal right to use any logos, photographs, videos, text or other materials supplied to Performo.
You remain responsible for all content provided to us.
Performo accepts no liability for copyright infringement or other claims arising from content supplied by the client.
Intellectual Property
Until payment has been received in full, all concepts, designs, source code and creative work remain the intellectual property of Performo.
Once payment has been received in full, ownership of the completed website transfers to the client.
Third-party software, fonts, stock photography, plugins and licensed assets remain subject to their respective licences.
Third-Party Services
Our websites may make use of trusted third-party providers including:
- ■Hosting providers
- ■Domain registrars
- ■Analytics platforms
- ■Google Maps
- ■Fonts
- ■Email providers
- ■Form providers
Performo cannot be held responsible for outages or failures affecting third-party services.
Limitation of Liability
While we take reasonable care in delivering our services, Performo cannot guarantee uninterrupted availability of websites, hosting providers or third-party services.
Our total liability shall not exceed the amount paid by the client for the relevant service.
Nothing within these Terms limits liability where such limitation is prohibited by law.
Changes to These Terms
We may update these Terms from time to time.
The latest version will always be published on our website.
Governing Law
These Terms are governed by the laws of Scotland.
Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.
